By accessing or using SimpleMarkets ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

SimpleMarkets is a software-as-a-service (SaaS) platform that provides cryptocurrency trading analysis tools, including but not limited to:

• Economic event tracking and analysis
• Configurable trading signals
• Portfolio optimization calculators
• Wallet tracking dashboards
• Market liquidation data and analysis
• Bitcoin risk assessment tools
• Trading journal and diary features

IMPORTANT: SimpleMarkets is an analytical and informational tool. The trading signals and data provided by the Service are not financial advice, investment recommendations, or solicitations to buy or sell any asset. Any decision to act on information provided by the Service is made entirely at your own risk and responsibility.

3. User Eligibility

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that:

• You have the legal capacity to enter into these Terms

4. Account Registration

5. Subscription Terms

5.1 Subscription Plans

SimpleMarkets offers subscription-based access to premium features across three tiers:

• Starter: $50.00/month (USD) — essential trading tools including signals, portfolio tracking, and economic calendar
• Analyst: $100.00/month (USD) — advanced analytics, strategy backtesting, and liquidation heatmaps
• Pro: $200.00/month (USD) — full automation, API access, automated trading bots, and all features

5.2 Billing and Payment

• Subscriptions are billed monthly in advance
• Payment is processed securely through Stripe
• You authorize us to charge your payment method on file
• All fees are in US Dollars (USD) unless otherwise stated
• Sales tax, VAT, or other taxes may apply based on your location

5.3 Automatic Renewal

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee.

5.4 Cancellation

• You may cancel your subscription at any time
• Cancellations can be made through your account settings or by contacting support
• Cancellations take effect at the end of your current billing period
• You will retain access to premium features until the end of the paid period
• No partial refunds are provided for mid-month cancellations

6. Refund Policy

• Original Payment Method: Refunds, if granted, are issued to your original payment method (no cash refunds)
• Processing Time: Approved refunds are processed within 5-10 business days
• Violations: We reserve the right to deny refunds for Terms of Service violations

7. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any laws, regulations, or third-party rights
• Engage in fraudulent or deceptive practices
• Manipulate markets or engage in illegal trading activities
• Share, sell, or redistribute your account access
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems (bots, scrapers) without authorization
• Upload malicious code, viruses, or harmful content
• Interfere with or disrupt the Service or servers
• Impersonate others or provide false information
• Harass, abuse, or harm other users

Violation of this policy may result in immediate account suspension or termination without refund.

8. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by SimpleMarkets and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your own use only. This license does not include any resale, redistribution, or sublicensing of the Service or its contents.

9. Disclaimer of Investment Advice

IMPORTANT: NOT FINANCIAL ADVICE

SimpleMarkets provides configurable trading signals, market data, and analytical tools for informational purposes. We are NOT:

• A registered investment advisor
• A licensed broker or dealer
• Providing personalized investment advice
• Guaranteeing the accuracy or profitability of any signal or analysis

Trading signals generated by the Service are algorithmic outputs based on market data and technical indicators. They do not constitute financial advice or recommendations. You are solely responsible for evaluating any information provided and for any trading decisions you make. You should consult with qualified financial, legal, and tax professionals before making any investment decisions.

Cryptocurrency trading involves substantial risk of loss. Past performance is not indicative of future results. You acknowledge that you may lose some or all of your invested capital and that SimpleMarkets bears no responsibility for any trading losses.

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of data
• Warranties that defects will be corrected

We make no guarantees about the accuracy of trading signals, market analysis, or any information provided.

11. Limitation of Liability

To the maximum extent permitted by law, SimpleMarkets shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data
• Trading losses or investment losses
• Loss of business opportunities
• Service interruptions or downtime
• Errors in data or analysis

In no event shall our total liability exceed the amount you paid for the Service in the month immediately preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless SimpleMarkets, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party

We are not responsible for the availability, accuracy, or content of these third-party services. Your use of third-party services is subject to their respective terms and policies.

15. Modifications to Service and Terms

• Change subscription pricing with 30 days' notice

16. Account Termination

You may terminate your account at any time by canceling your subscription and contacting support to request account deletion.

16.2 By Us

We may suspend or terminate your account immediately, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Payment failures or chargebacks
• Abuse of the Service or other users

Upon termination, your right to use the Service ceases immediately. We are not obligated to provide refunds for terminated accounts.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.
